  • User Accounts: If you create an account on our Website, you are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. HubScope.ai reserves the right to suspend or terminate your account at its sole discretion if any information provided is untrue, inaccurate, not current, or incomplete, or if HubScope.ai has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, or for any other reason deemed appropriate.  

2. Our Services

HubScope.ai provides strategy assessment, recommendation of vendor-developed solutions, and integration of those solutions.

  • Strategy Assessment: We will work with you to understand your business needs and objectives to provide strategic advice and assessments.

  • Vendor Recommendations: Based on our assessment, we may recommend software, platforms, or other solutions developed by third-party vendors ("Vendor Solutions"). While we strive to recommend solutions that are suitable for your stated needs, HubScope.ai does not warrant or guarantee the performance, suitability, or availability of any Vendor Solutions. Your use of any Vendor Solution will be governed by the terms and conditions between you and the respective vendor. HubScope.ai is not a party to such agreements.

  • Integration Services: We may assist in the integration of selected Vendor Solutions with your existing systems. The scope and specifics of integration services will be detailed in a separate agreement or Statement of Work ("SOW").

3. Payment Terms

Specific payment terms for our Services will be outlined in a separate agreement, proposal, or SOW. Unless otherwise agreed in writing:

  • Fees for Services are due as specified in the invoice.

  • Late payments may incur interest charges at a rate specified in the invoice or the maximum rate permitted by law.

  • All fees are exclusive of applicable taxes, which you will be responsible for paying.

HubScope.ai reserves the right to change its pricing and payment terms for Services upon reasonable notice to you, which may be provided by posting the new terms on our Website or by other means.

4. Intellectual Property

  • Our Content: The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by HubScope.ai, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as generally and ordinarily permitted through the Website according to these Terms.  

  • Your Content: If you provide us with any materials, data, or information in connection with the Services ("Your Content"), you grant HubScope.ai a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display Your Content solely for the purpose of providing the Services to you. You represent and warrant that you have all necessary rights to grant us this license.  

  • Deliverables: Ownership of any specific work product or deliverables created by HubScope.ai for you as part of the Services will be defined in the applicable SOW or separate agreement.

5. Warranties and Disclaimers

  • No Warranties for Website: The Website is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. HubScope.ai does not warrant that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.  

  • Service Warranties: HubScope.ai warrants that its Services will be performed in a professional and workmanlike manner.

  • Disclaimer Regarding Vendor Solutions: AS STATED PREVIOUSLY, HUBSCOPE.AI MAKES NO REPRESENTATIONS OR WARRANTIES WHATSOEVER REGARDING ANY THIRD-PARTY VENDOR SOLUTIONS. YOUR USE OF VENDOR SOLUTIONS IS AT YOUR SOLE RISK AND SUBJECT TO THE TERMS AND CONDITIONS OF THE APPLICABLE VENDOR. WE EXPRESSLY DISCLAIM ANY LIABILITY FOR ANY CLAIMS, DAMAGES, OR LOSSES ARISING FROM YOUR USE OF OR RELIANCE ON VENDOR SOLUTIONS.

  • Recommendations: Any recommendations or advice provided by HubScope.ai are based on the information you provide and our professional judgment. However, we do not guarantee any specific results or outcomes from the implementation of our recommendations or the use of our Services. The ultimate responsibility for decisions and their implementation rests with you.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HUBSCOPE.AI, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES, OR THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.  

IN NO EVENT SHALL HUBSCOPE.AI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE WEBSITE OR THE FEES PAID BY YOU TO HUBSCOPE.AI FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.  

THIS LIMITATION OF LIABILITY DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

7. Indemnification

You agree to defend, indemnify, and hold harmless HubScope.ai, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website or Services, including, but not limited to, Your Content, any use of Vendor Solutions other than as expressly authorized by the vendor, or your use of any information obtained from the Website or Services.  

8. Changes to Terms and Offerings

HubScope.ai reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Website or Services after those revisions become effective, you agree to be bound by the revised terms.  

HubScope.ai also reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Website or Services (or any part thereof) with or without notice at any time. You agree that HubScope.ai will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Website or Services.  

9. Governing Law and Jurisdiction

7. Payment Methods (If Applicable)

13. Entire Agreement

These Terms and our Privacy Policy (and any applicable Service Agreement) constitute the sole and entire agreement between you and HubScope.ai regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website. Where a Service Agreement is in place, the terms of the Service Agreement shall prevail in the event of any conflict with these Website Terms specifically concerning the services provided under that Service Agreement.
